Terms of Service

These terms are an agreement between the merchant installing StockPulse (“you”) and Ambry Labs (ambrylabs.com), a software studio based in India (“we”, “us” — including any successor entity that assumes operation of the App). By installing or using StockPulse (“the App”) you accept these terms.

1. The service

StockPulse provides inventory cycle counting for Shopify stores: count sessions run by your team from their own devices, review and approval of discrepancies, batch/expiry tracking, alerts, and analytics. Approved corrections are written back to your Shopify inventory.

2. Plans and billing

• Free — one location; counting, alerts, and team features.
• Growth — USD $19.99/month — unlimited locations and the Insights analytics page.
• Pro — USD $99/month — everything in Growth, plus custom feature support.

All charges are billed by Shopify and appear on your Shopify invoice. You can upgrade, downgrade, or cancel at any time from the App’s plan page in your Shopify admin; changes are prorated by Shopify according to its billing rules. Uninstalling the App ends future charges. Prices may change with at least 30 days’ notice; continued use after a change takes effect constitutes acceptance.

3. Your responsibilities

• Inventory adjustments are pushed to Shopify only after you approve a reviewed count. You are responsible for reviewing discrepancies before approving them.
• You are responsible for the people you add as team members and for keeping counter PINs appropriately private.
• You will not use the App unlawfully, attempt to breach its security, resell access to it, or interfere with other merchants’ use of it.

4. Data

Our handling of your store’s data is described in the Privacy Policy, which forms part of these terms. On uninstall, your store’s data is permanently deleted as described there.

5. Availability and changes

We aim to keep the App available and reliable, but do not guarantee uninterrupted operation. We may add, change, or remove features, and may discontinue the App with at least 30 days’ notice to installed stores.

6. Disclaimer

The App is provided “as is”. Counts, analytics, velocity estimates, and expiry projections are aids to your judgment, not guarantees; we do not warrant that they are error-free. You remain responsible for your store’s inventory records and business decisions.

7. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the App is limited to the amounts you paid for the App in the 12 months before the claim arose, and we are not liable for indirect, incidental, or consequential losses, including lost profits or lost inventory value.

8. Termination

You can stop using the App at any time by uninstalling it. We may suspend or terminate access for breach of these terms or misuse of the service.

9. Governing law

These terms are governed by the laws of India, and the competent courts in India have exclusive jurisdiction over disputes arising from them.
